Syllabus

During the second module of the course, an overview of European company law will be provided, analyzing in more detail what are the main European legislative acts on the harmonization of company law. Finally, some aspects of listed company law and relevant European legislative acts will be examined. Throughout the course, the focus will be on developing the necessary critical ability to analyze issues related to Corporate Law.

To take the exam the students must have passed Introduction to Italian Law exam.

Introduction to European Company Law: - the internal market, the freedom of establishment and the freedom to provide services; - the goal of harmonization of Member States’ Company Law and the most important acts of the European Union. The European Company Law: - The "Societas Europea"; - Financial Markets and Listed Companies Law (the Shareholder Rights Directives I and II); - The European Transparency Directive; - The European Takeover Bid Directive.
